Agreement to Our Legal Terms

These Terms and Conditions (the “Legal Terms”) are a binding contract between you (“you”) and POP LOCATE LLC (“Company,” “we,” “us,” or “our”). They govern your access to and use of poplocate.com and any related products or services that reference these Legal Terms (collectively, the “Services”).
If you do not agree to all of these Legal Terms, you must not use the Services.

The Services are intended for users who are at least 18 years old. Persons under 18 may not use or register for the Services.

Supplemental terms or documents posted on the Services from time to time are hereby incorporated by reference. We may revise these Legal Terms at any time. All changes are effective when posted, and your continued use of the Services signifies acceptance of the updated terms.

1. Our Services

The information provided through the Services is not intended for distribution or use in any jurisdiction where such distribution or use would violate law or regulation or subject us to registration. You access the Services on your own initiative and are responsible for compliance with local laws.

The Services are not designed to comply with industry‑specific regulations (e.g., HIPAA, FISMA) or the Gramm‑Leach‑Bliley Act. Do not use the Services in a way that would violate such laws.

2. Intellectual Property Rights

We own or license all intellectual‑property rights in the Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics (“Content”), and all trademarks, service marks, and logos (“Marks”). Content and Marks are provided “AS IS” for your internal business purpose only.

Your Property Rights

Subject to these Legal Terms, we grant you a non‑exclusive, non‑transferable, revocable licence to access the Services and download or print portions of the Content for your internal business purpose. No other use is permitted without our prior written consent.

3. User Representations

By using the Services, you represent that (1) all registration information you submit is true, accurate, and current; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to agree to these Legal Terms; (4) you are at least 18 years old; (5) you will not access the Services through automated means; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use of the Services will not violate any law or regulation.

4. User Registration

You may be required to register to use the Services. You are responsible for all activities under your account. We may remove or change a username we deem inappropriate.

5. Purchases and Payment

We accept Visa, Mastercard, American Express, and Discover. You agree to provide current, complete, and accurate account information for all purchases. Prices may change at any time. All payments are in US dollars. We may refuse any order and limit quantities.

6. Subscriptions

Subscriptions automatically renew unless cancelled. We offer a 30‑day free trial for new users. You may cancel at any time; cancellations take effect at the end of the current paid term. All purchases are non‑refundable.

7. Prohibited Activities

You may use the Services only for purposes authorised by us. The Services may not be used for any commercial endeavour except those we endorse. A non‑exhaustive list of prohibited activities includes: data scraping, hacking, spamming, infringing intellectual property, uploading malicious code, harassing others, and violating laws.

8. User‑Generated Contributions

The Services may allow you to post content (“Contributions”). You are responsible for your Contributions and agree they do not violate any rights or laws. We may remove or edit Contributions at our discretion.

9. Contribution License

By posting Contributions, you grant us a perpetual, worldwide, royalty‑free licence to use, reproduce, modify, publish, and distribute those Contributions in any media.

10. Guidelines for Reviews

Reviews must be based on firsthand experience and must not contain offensive or illegal content. We may accept, reject, or remove reviews at our discretion.

11. Social Media

You may link your account to third‑party social‑media accounts. We are not responsible for third‑party content or practices. You may disconnect your social‑media account at any time.

12. Third‑Party Websites and Content

The Services may contain links to third‑party websites or content. We do not endorse and are not responsible for third‑party websites or content. You access them at your own risk.

13. Services Management

We reserve the right to monitor the Services for violations, take legal action, restrict access, remove content, and otherwise manage the Services to protect our rights and facilitate proper functioning.

14. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you consent to the practices described therein.

15. DMCA Notice and Policy

If you believe material on the Services infringes your copyright, notify our Designated Copyright Agent at info@poplocate.com. Your notice must comply with 17 U.S.C. § 512(c)(3).

16. Term and Termination

These Legal Terms remain in effect while you use the Services. We may suspend or terminate your account at any time for any reason. Upon termination, you may not create a new account.

17. Modifications and Interruptions

We may change or discontinue the Services at any time without notice. We are not liable for any interruption or loss of data.

18. Governing Law

These Legal Terms are governed by the laws of the State of California, USA, without regard to conflict‑of‑law principles.

19. Dispute Resolution

Informal Negotiations

Before filing any claim, the parties agree to attempt informal negotiations for 30 days.

Binding Arbitration

If a dispute cannot be resolved informally, it will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association in San Diego, California. Class‑action proceedings are not permitted.

20. Corrections

We may correct errors or omissions on the Services at any time without prior notice.

21. Disclaimer

The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties of any kind, express or implied.

22. Limitations of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, consequential, exemplary, incidental, or punitive damages. Our total liability to you for any cause shall not exceed the amount paid by you to us in the six months preceding the claim.

23. Indemnification

You agree to indemnify and hold us harmless from any loss or claim arising out of your use of the Services or violation of these Legal Terms.

24. User Data

We may store data you provide for the operation of the Services. You are responsible for all data you transmit and you agree that we are not liable for loss or corruption of such data.

25. Electronic Communications, Transactions, and Signatures

You consent to receive electronic communications and agree that electronic signatures satisfy legal requirements.

26. SMS Text Messaging

When using Pop Locate to manage your reviews, we will send you SMS text notifications to approve new customers, approve responses to reviews, notifications related to your account, requests for feedback, and special offers.

Text "STOP" at any time to disable SMS messages. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to enable SMS messages again, just reply "START". This will only start/stop SMS messages, to cancel your account go to your profile.

Carriers are not liable for delayed or undelivered messages

Message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

You will receive a message for every new customer and new review. You will also recieve 1-2 messages per month for notifications, feedback, or offers.

27. TCPA & 10DLC Compliance

You are responsible for complying with the Telephone Consumer Protection Act, 47 U.S.C. § 227 (the “TCPA”) in connection with using our Services. This means you must obtain explicit consent for all SMS messages your account sends using our system.

28. California Users and Residents

If a complaint with us is not resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834 or by phone at (800) 952‑5210.

29. Miscellaneous

These Legal Terms constitute the entire agreement between you and us. If any provision is unenforceable, the remaining provisions remain in effect. No joint‑venture, partnership, employment, or agency relationship exists between you and us as a result of these Legal Terms.
